The Spot Terms and Conditions

1. Introduction

Welcome to The Spot (the "App"), operated by North Florida Ideations LLC, a Limited Liability Company ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the App, including any content, functionality, and services offered through it. By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, you may not use the App.

2. Acceptance of Terms

By using the App, you confirm that you are at least 18 years of age or have the consent of a parent or legal guardian to use the App. You also agree to comply with these Terms and any applicable laws or regulations. These Terms apply to all users, whether you are accessing the App via the Apple App Store, Google Play Store, or any other platform.

3. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a mobile device that you own or control, solely for your personal, non-commercial use, in accordance with the Apple App Store Terms of Service and Google Play Terms of Service.

4. Intellectual Property

All content, graphics, user interfaces, logos, trademarks, and software within the App are owned by or licensed to North Florida Ideations LLC. You may not copy, modify, distribute, sell, or reverse-engineer any part of the App without our prior written consent, except as permitted by applicable law. Any unauthorized use may result in termination of your license to use the App.

5. Prohibited Uses

You agree not to use the App for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:

  • Attempting to reverse-engineer, decompile, or disassemble the App.
  • Using the App to distribute viruses, malware, or other harmful code.
  • Engaging in any activity that interferes with or disrupts the App’s functionality.
  • Collecting or harvesting user information without consent.
  • Using the App to engage in illegal activities or to promote harmful conduct.

6. In-App Purchases

If the App offers in-app purchases, such transactions will be processed through the Apple App Store or Google Play Store, subject to their respective payment policies and terms. You acknowledge that we are not responsible for billing disputes, which should be directed to the respective app store. All purchases are non-refundable unless otherwise stated or required by law.

7. Privacy Policy

North Florida Ideations LLC does not collect, store, or process any personal data through The Spot. The App is designed to operate without gathering personal information from its users. However, if you have any questions about data privacy or the App’s operation, please contact us as provided in Section 16.

8. Limitation of Liability

To the fullest extent permitted by law, North Florida Ideations LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to loss of data, profits, or goodwill. Our total liability to you for any claim arising from these Terms or your use of the App will not exceed the amount you paid to us in the preceding 12 months, or $100, whichever is greater.

9. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Termination

We may suspend or terminate your access to the App at our sole discretion, with or without notice, if you violate these Terms or for any other reason. Upon termination, your license to use the App will cease, and you must uninstall the App from your device.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida or applicable federal law, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App will be resolved in the state or federal courts located in Florida, and you consent to the exclusive jurisdiction of such courts.

12. Third-Party Services

The App may integrate with third-party services (e.g., Apple App Store, Google Play Store, or other APIs). Your use of such services is subject to the terms and conditions of those third parties, and we are not responsible for their performance or policies.

13. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by other means. Your continued use of the App after such changes constitutes your acceptance of the updated Terms.

14. Apple App Store Additional Terms

The following terms apply to your use of the App on iOS devices:

  • These Terms are between you and North Florida Ideations LLC, not Apple, Inc. ("Apple"). We are solely responsible for the App and its content.
  • Apple has no obligation to provide maintenance or support services for the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the App.
  • Apple is not responsible for addressing any claims relating to the App, including product liability, legal compliance, or intellectual property infringement.
  • Apple is a third-party beneficiary of these Terms and may enforce them against you.

15. Google Play Store Additional Terms

The following terms apply to your use of the App on Android devices:

  • You acknowledge that these Terms are between you and North Florida Ideations LLC, not Google LLC ("Google").
  • Your use of the App must comply with the Google Play Terms of Service.
  • Google is not responsible for the App or its content and has no obligation to provide maintenance or support services.
